By accessing or using the ProConnect Services website and platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, contractors, and others who access or use the Service.

2. Description of Service

ProConnect Services operates as a marketplace platform that connects homeowners with independent contractors for home improvement and maintenance services. ProConnect Services acts solely as an intermediary facilitating connections between homeowners and contractors. We are not a contracting company, and we do not perform any construction, remodeling, or maintenance work directly.

3. Platform Role and Limitations

ProConnect Services provides a platform for connecting homeowners with contractors. While we take reasonable steps to verify contractor credentials, including license verification, insurance confirmation, identity checks, and background screening, ProConnect Services does not guarantee, warrant, or endorse the quality, safety, legality, or any other aspect of the services provided by contractors listed on our platform.

Important Disclaimer: Although ProConnect Services takes extra steps to validate contractor licenses, insurance, identity, and conduct background checks, we cannot be held responsible for the results of any project, the quality of work performed, the conduct of any contractor, or any damages, injuries, or losses arising from services provided by contractors found through our platform.

All agreements, contracts, and transactions between homeowners and contractors are solely between those parties. ProConnect Services is not a party to any such agreement and bears no liability for disputes, damages, or claims arising from the contractor-homeowner relationship.

4. Contractor Verification Process

ProConnect Services conducts a multi-step verification process for contractors joining our network, which may include:

• Verification of active state contractor licenses
• Confirmation of general liability and workers' compensation insurance
• Identity verification of business owners
• Background check screening

However, verification is conducted at the time of application and periodic reviews. Contractor credentials, insurance status, and other qualifications may change after verification. ProConnect Services does not guarantee that any contractor's credentials remain current at the time of service. Homeowners are encouraged to independently verify contractor credentials before entering into any agreement.

5. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. ProConnect Services reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROCONNECT SERVICES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any direct, indirect, incidental, special, consequential, or punitive damages arising from the use of contractor services obtained through our platform
• Any property damage, personal injury, or financial loss resulting from contractor work
• Any disputes between homeowners and contractors
• The accuracy, completeness, or reliability of contractor profiles, reviews, or credentials
• Any failure by a contractor to complete work, meet deadlines, or perform to expected standards

7. Indemnification

You agree to indemnify, defend, and hold harmless ProConnect Services and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any dispute between you and a contractor or homeowner; or (d) your violation of any third-party rights.

8. Reviews and Content

Users may submit reviews, ratings, and other content through the platform. You represent that any content you submit is accurate and reflects your genuine experience. ProConnect Services reserves the right to remove content that is fraudulent, misleading, defamatory, or otherwise violates these Terms. Reviews remain the opinion of the reviewer and do not represent the views of ProConnect Services.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by ProConnect Services and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the platform without prior written consent.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

ProConnect Services reserves the right to modify or replace these Terms at any time. Material changes will be communicated through the platform or via email. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
